Sprint Nextel Corp. S,Sprint Nextel Corporation wireless resellers and gaining a pay-as-you-go

Sprint Nextel Corporation and Virgin Mobile USA Inc. Sprint announced last July it would acquire Virgin. In buying Virgin Mobile, Sprint is taking over one of its wireless resellers and gaining a pay-as-you-go option that round out its low-end contribution. Sprint has struggled to keep its more profitable contract.

The notes will be issued under an indenture between Sprint Nextel Corporation and The Bank of New York Trust Company, as trustee. The terms of the notes include those stated in the indenture and those made part of the indenture by reference to the Trust Indenture Act of 1939. .P. Morgan Securities Inc., Citigroup Global Markets Inc. and Wells Fargo Securities, LLC are joint book-running managers. The net proceeds from the offering will be used for general corporate purposes. The sale of the notes is expected to close on August 13, 2009.
