The company will seek approval for the merger by the appropriate regulatory agencies during the fourth quarter of 2009. The merger plan combines Farmers Bank & Capital Trust Co., Frankfort, Kentucky ("Farmers Bank") and Lawrenceburg Bank & Trust Company, Lawrenceburg ("Lawrenceburg Bank"). The merged bank would than operate under the Farmers Bank charter.
