Rogers Corporation (NYSE:ROG) has announced that it has completed the acquisition of SK Utis Co., Ltd. SK Utis is a performance polyurethane foam business. It will be acquired from SK Chemicals Co., Ltd. based in South Korea. The acquisition was announced on March 23, 2010. It included the intellectual property, technology assets, and stock of SK Utis Co., Ltd. The transaction was valued at $29.1 million. Pursuant to the terms of the agreement, Rogers paid $26.0 million at closing for the acquisitions of intellectual property, technology assets, and 90% majority equity share of SK Utis from SK Chemical. The company will acquire the remaining 10% in the shares within two years at a fixed price of $3.1 million.

Rogers Corporation (Rogers) is engaged in the supply of specialty materials and components for the portable communications, communications infrastructure, consumer electronics, mass transit, automotive, defense and sustainable energy markets. The Company operates in four segments: Printed Circuit Materials, High Performance Foams, Custom Electrical Components and Other Polymer Products. On April 30, 2009, it acquired certain assets of MTI Global Inc.’s (MTI Global) silicones business. These assets include product lines, technology and manufacturing equipment of MTI Global’s Bremen, Germany and Richmond, Virginia plant locations.
