OMNI Energy Services Corp. (Nasdaq: OMNI) $2.12. Today announced that it has entered into a definitive agreement under which an affiliate of Wellspring Capital Management LLC ("Wellspring") will acquire all of OMNI's outstanding shares for $2.75 per share in cash. The total value of the transaction is approximately $122 million, including assumption of debt.
The agreement has been unanimously approved by the OMNI Board of Directors following the recommendation of a special committee of independent directors. The cash consideration represents a premium of 29.7% over the closing price of OMNI shares on June 3, 2010.
What They Do: OMNI Energy Services Corp. offers a broad range of integrated services to geophysical companies engaged in the acquisition of on-shore seismic data and to oil and gas companies operating primarily in the Gulf of Mexico.
Unidym, a majority owned subsidiary of Arrowhead Research (Nasdaq: ARWR) $1.69. Today announced that it has finalized an agreement with Tokyo Electron (TEL) to develop manufacturing equipment for carbon nanotube based displays and solar cells. TEL is the second largest semiconductor production equipment manufacturer in the world.
“The partnership with TEL is critical in providing a complete manufacturing solution to our customers in the LCD and solar industries,” said Mark Tilley, President and CEO of Unidym. “TEL is one of the world leaders in wet coating technology, and they have direct channels to market in the display and solar industries.”

Under the terms of the agreement, Unidym and TEL will develop a coating tool for LCD and solar manufacturers to use in coating Unidym’s electronic inks into their devices.

Roxio CinePlayer allows users to enjoy Blu-ray 3D, 3D DVDs, as well as other stereoscopic 3D content in a broad range of formats. The comprehensive media player for Windows also supports real-time conversion of 2D video to 3D, so users can enjoy their existing library of standard DVDs and personal home movies in 3D. In addition, Roxio CinePlayer offers instant access to new movies delivered digitally via RoxioNow-powered services. This will include 3D entertainment as titles become available for online delivery.
What They Do: Roxio enables consumers to easily manage, share, and enjoy personal digital media content and, through RoxioNow, conveniently access premium Hollywood entertainment from a broad range of connected devices.
