These partnership interests consist of 16,414,830 common units representing an aggregate 36% limited partner interest in CELP, and 100% ownership interest in Crosstex Energy GP, L.P., the general partner of CELP, which owns a 2% general partner interest and all of the incentive distribution rights in CELP. CELP is an independent midstream energy company engaged in the gathering, transmission, treating, processing and marketing of natural gas and NGLs. CELP has two operating segments: Midstream and Treating.
